General Terms and Conditions

§ 1 Scope
(1) These General Terms and Conditions (T&Cs) apply to all orders you place through our online shop RINSUMILA at https://rinsumila.com, including subscriptions.
(2) A consumer is any natural person who concludes a legal transaction for purposes that cannot predominantly be attributed to either their commercial or their independent professional activity. A business is a natural or legal person or a partnership with legal capacity who, when concluding the contract, acts in the exercise of their commercial or independent professional activity. Provisions that apply only to consumers or only to businesses are marked as such.
(3) Deviating terms of businesses apply only if we expressly agree to them.
(4) For subscriptions, our Subscription Terms (https://rinsumila.com/en/legal/subscription-terms) also apply. For the right of withdrawal, our Instructions on Withdrawal (https://rinsumila.com/en/returns) apply.
§ 2 Contracting party
Your contracting party is TopieT GmbH, Giesenheide 40, 40724 Hilden, Germany, entered in the commercial register at the Amtsgericht Wuppertal under HRB 29871, represented by the managing director Igor Shelkovenkov, VAT ID DE324957473. § 3 Conclusion of contract
(1) The presentation of the products in the shop is not a legally binding offer but an invitation to you to place an order.
(2) This is how the order process works:
- You put products in the cart. For products with a subscription option, you choose whether to order once or as a subscription with a delivery interval. In the cart you can see which means of payment we accept and whether delivery restrictions apply.
- In the cart you can remove products and change quantities. From there you go to the checkout.
- At the checkout you enter your email address (or log in), your delivery address, your billing address and, for deliveries outside Germany, your telephone number; for deliveries within Germany the telephone number is optional. You can enter voucher codes and, as a business, your VAT ID. For a subscription you must be logged in. You can optionally choose whether you want to receive a review request by email after delivery and whether we may pass your email address on to DHL for delivery notifications.
- You see the summary with products, prices, shipping costs, delivery time and total amount. For subscription products, it shows in a prominent way the term, the total price of each subsequent delivery including shipping, the delivery interval, the approximate total monthly cost and the cancellation conditions. You agree to the application of the T&Cs, including any applicable Subscription Terms. You can call up and save the Instructions on Withdrawal before submitting the order. If your order contains sealed matcha for which the right of withdrawal does not exist once the seal has been removed, we will draw your attention to this.
- By clicking the button "Order with obligation to pay" you submit a binding offer to buy the products in the cart.
- We confirm receipt of your order to you without undue delay by email ("Order received"). This confirmation of receipt is not yet an acceptance of your offer.
- We then redirect you to the payment page of our payment service provider Stripe. There you choose one of the accepted means of payment and complete the payment.
(3) Correcting input errors: Until you click "Order with obligation to pay", you can change all entries in the checkout form fields and adjust products and quantities via the cart. With the back function of your browser you can return to the previous step at any time.
(4) The contract is concluded when we accept your offer. We do this with the email "Payment received" (order confirmation), which we send you after receipt of your payment. It reproduces the contents of the contract (products ordered, prices, shipping costs, total amount) and contains, as a PDF in the language of your order, these T&Cs, for a subscription the Subscription Terms, the Instructions on Withdrawal applicable to your order (for an order containing both goods ordered once and a subscription, both instructions) together with the model withdrawal form, and thus also the delivery and payment terms.
(5) Without a completed payment, no contract is concluded. If you do not complete the payment within 45 minutes after submitting the order, or if it fails, we automatically cancel the open order and you are no longer bound by your offer. You can also cancel an order that has not yet been paid yourself via the order tracking link.
§ 4 Contract language and storage of the contract text
(1) You can conclude the contract in the languages in which the shop is offered: German, English, French, Spanish, Italian, Dutch, Polish, Swedish, Czech, Portuguese, Danish, Finnish and Russian. The language in which you order is decisive. You receive the contract text and the contract documents in that language.
(2) We store the contract text, that is, your order data and the version of the contract terms that applied when you ordered. You receive the order data and the contract terms with the order confirmation under § 3 para. 4. If you have a customer account, you can also find your orders in the account. You can call up, save and print the current version of the T&Cs at any time at https://rinsumila.com/en/legal/terms.
§ 5 Prices and shipping costs
(1) All prices are final prices in euros and include statutory value added tax. If, as a business from another EU Member State, you provide a valid VAT ID and the statutory requirements are met, we charge the net amount without value added tax (reverse charge).
(2) Shipping costs per delivery are added to the price unless the order reaches the threshold for free shipping. The shipping costs depend on the country of delivery:

(3) For deliveries to Switzerland and Liechtenstein, you as the recipient bear customs duties, import charges and customs clearance fees. You pay these to the parcel carrier, not to us.
§ 6 Delivery
(1) We deliver to all Member States of the European Union, to Monaco, Switzerland and Liechtenstein. We do not deliver subscriptions to Monaco. Shipping is from Germany with DHL and parcel tracking.
(2) If delivery to a country is temporarily not possible, we will show you this at the latest at the beginning of the ordering process. You will then incur no costs.
(3) We deliver within the following periods, counted from receipt of your payment and including our processing time:

Working days are Monday to Friday, excluding statutory public holidays at the place of dispatch, Hilden (North Rhine-Westphalia). You can also see the delivery time for your country of delivery on the product page and at the checkout. As soon as we have handed your parcel over to DHL, we will send you an email with the tracking number.
(4) If you are a business, the risk of accidental loss and accidental deterioration of the goods passes to you upon handover to the parcel carrier. If you are a consumer, the risk passes only upon handover of the goods to you.
§ 7 Payment
(1) We tell you which means of payment we accept at the latest at the beginning of the ordering process in the cart and at the checkout, as well as on the Shipping and Payment page (https://rinsumila.com/en/shipping). Our payment service provider Stripe processes the payment for all means of payment. You enter your payment details directly with Stripe; we do not store them.
(2) You pay the total amount on the payment page. Without a completed payment, no contract is concluded under § 3 para. 5. For means of payment whose confirmation takes longer, the delivery period under § 6 para. 3 begins only upon receipt of the payment.
(3) If on the payment page you choose a means of payment of a further provider, that provider's terms, to which you are referred there, apply additionally to the payment.
(4) Subscriptions are charged automatically per delivery at the chosen interval. The Subscription Terms govern the details.
§ 8 Retention of title
The goods remain our property until full payment. If you are a business, the goods remain our property until all claims arising from the ongoing business relationship have been settled in full.
§ 9 Vouchers
(1) Promotional vouchers (discount codes) apply under the conditions we announce with the code, for example validity period, minimum order value, maximum number of redemptions or linking to a specific customer account. Per order you can redeem one discount code and, in addition, one code for free shipping.
(2) Vouchers are not paid out in cash and do not bear interest. For a subscription, a discount code applies only to the first delivery.
(3) If you withdraw from a contract that you paid for with a voucher, we refund the amount you actually paid.
§ 10 Subscriptions
For orders as a subscription (regular delivery at the chosen interval), the Subscription Terms (https://rinsumila.com/en/legal/subscription-terms) also apply. They govern interval, price, debiting, pausing, skipping, cancellation and price changes.
§ 11 Right of withdrawal
(1) As a consumer you have a statutory right of withdrawal. You will find the conditions, periods and procedure as well as the model withdrawal form in our Instructions on Withdrawal (https://rinsumila.com/en/returns). For goods ordered once, the instructions for purchases apply; for subscription contracts, the subscription instructions. If your order contains both, you receive both instructions. You receive the instructions applicable to your order with the order confirmation.
(2) You can withdraw online via the "Withdraw from contract" function (https://rinsumila.com/en/widerruf).
(3) For matcha that we mark as sealed on the product page, the right of withdrawal does not exist if the seal was removed after delivery. This never applies to accessories, bowls and the accessories in sets; for sets it concerns only the matcha they contain. Details are set out in the Instructions on Withdrawal.
§ 12 Liability for defects
(1) The statutory law on liability for defects (§§ 434 ff. BGB) applies. For consumers, the regular limitation period for claims for defects is two years from delivery. Statutory exceptions and extensions remain unaffected. We prominently display the European Union's harmonised notice on the legal guarantee at the checkout before you submit your order.
(2) A best-before date and storage instructions on the packaging or the product page are information about the product. They are not a guarantee within the meaning of § 443 BGB unless we expressly give a guarantee.
(3) You can report defects to us by email to support@rinsumila.com or via the contact form, ideally with your order number. How we handle complaints is set out on our Complaints page (https://rinsumila.com/en/complaints).
§ 13 Transport damage
If the goods arrive with obvious transport damage, please report such damage to the carrier immediately where possible and contact us, where possible within 48 hours, with photos of the packaging and the product. This helps us to enforce claims against the parcel carrier. If you fail to report it, this has no consequences for your statutory rights, in particular not for your rights in respect of defects.
§ 14 Liability
(1) We are liable without limitation
- in cases of intent and gross negligence,
- for damage resulting from injury to life, body or health,
- under the Product Liability Act (Produkthaftungsgesetz) and
- to the extent that we have given a guarantee.
(2) If we breach an essential contractual obligation through slight negligence, our liability is limited to the foreseeable damage typical for the contract. Essential contractual obligations are obligations whose fulfilment is what makes the proper performance of the contract possible in the first place and on whose observance you can regularly rely.
(3) In all other respects we are not liable for slightly negligent breaches of duty.
(4) Paragraphs 1 to 3 also apply to the liability of our legal representatives and vicarious agents.
§ 15 Dispute resolution
We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board. If you have questions or complaints, please write to us at support@rinsumila.com so that we can clarify the matter directly.
§ 16 Applicable law and place of jurisdiction
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer, this choice of law applies only to the extent that it does not deprive you of the protection granted to you by the mandatory provisions of the law of the state in which you have your habitual residence.
(2) If you are a merchant (Kaufmann), a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from this contract is the registered office of TopieT GmbH. For consumers, the statutory places of jurisdiction apply.
